Acceptance of Terms

By accessing or using PlacardPro or any related services provided by Mile Marker Technologies ("we," "us," "our"), you agree to be bound by these Terms of Use. If you are using the service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms.

If you do not agree to these terms, do not use the service.

Description of Service

PlacardPro is a mobile and web-based compliance advisory platform for commercial carriers transporting hazardous materials. The service provides:

• Bill of Lading (BOL) field verification against DOT 49 CFR requirements
• Hazard placard guidance based on detected hazmat classes and quantities
• Fleet management tools including driver roster management, scan history, and compliance reporting
• Fleet-managed driver account provisioning and activation via one-time codes, delivered by SMS text message or communicated directly by the fleet administrator

Advisory Tool — Not a Legal Compliance Guarantee

Specifically:

• PlacardPro results do not constitute legal certification that a shipment is compliant
• A "BOL Verified" result does not guarantee the shipment will pass a DOT inspection
• Regulatory requirements are subject to change; we cannot guarantee the app reflects the most current rules at all times
• OCR and AI extraction may misread documents — always verify critical information visually
• Mile Marker Technologies accepts no liability for fines, violations, incidents, or losses arising from reliance on app results

Account Registration & Fleet Administrators

To use the fleet management console, you must register a carrier account. You agree to provide accurate, current, and complete registration information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

Fleet administrators are responsible for:

• Ensuring only authorized personnel are added as drivers
• Obtaining driver consent before entering their phone numbers into the system
• Managing driver seat subscriptions and ensuring payment is current
• Notifying us promptly of any unauthorized account use

Driver Accounts & Provisioning

Drivers are provisioned by fleet administrators and do not independently register. Driver activation uses a one-time activation code, which may be delivered by SMS text message to the driver's mobile phone number or communicated directly by the fleet manager.

By provisioning a driver, the fleet administrator represents and warrants that: (a) the driver has consented to receive SMS messages from PlacardPro / Mile Marker Technologies, LLC during onboarding with the carrier — via paper or digital onboarding paperwork, or verbal confirmation, administered by the carrier — before the driver's phone number is entered into the system; and (b) the driver consents to use the PlacardPro platform as a condition of their employment or engagement. The carrier is responsible for obtaining and retaining records of driver consent.

SMS messages are transactional only. Drivers may opt out of SMS at any time by replying STOP. Full SMS terms are available at placardpro.ai/smsterms. Message and data rates may apply.

Subscription & Billing

Access to the fleet management console and driver provisioning requires a paid subscription. Monthly billing is $9.99 per driver seat. The discounted annual option is $99.90 per driver seat, paid upfront for a one-year commitment. The following monthly billing provisions apply to the monthly plan; annual billing terms are provided with your annual commitment. Monthly billing is processed via Square, and you authorize recurring monthly charges until cancellation.

• Seats may be added or removed at any time; billing adjusts at the next cycle
• No refunds are issued for partial months or unused seats unless required by law
• We reserve the right to suspend service if payment fails after reasonable notice
• Prices may change with 30 days advance notice to the account administrator email

Acceptable Use

You agree not to:

• Use the service for any unlawful purpose or in violation of any regulation
• Attempt to reverse engineer, decompile, or extract source code from the application
• Use automated tools to scrape, crawl, or excessively query the API
• Resell, sublicense, or redistribute access to the service without written permission
• Submit false, fraudulent, or misleading information through the service
• Interfere with or disrupt the integrity or performance of the service

Intellectual Property

PlacardPro and all associated software, design, content, and trademarks are the property of Mile Marker Technologies. These Terms do not grant you any ownership rights in the service.

Your scan data (extracted BOL fields, validation results) remains yours. We do not claim ownership of your fleet's compliance records.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

We do not warrant that the service will be uninterrupted, error-free, or that defects will be corrected. We do not warrant the accuracy or completeness of any compliance determination made by the application.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MILE MARKER TECHNOLOGIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO REGULATORY FINES, INSPECTION PENALTIES, LOST PROFITS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

Our total liability to you for any claims arising under these terms shall not exceed the amount paid by you to us in the three months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Mile Marker Technologies and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the service, your violation of these terms, or your violation of any applicable law or regulation.

Termination

You may cancel your subscription at any time through the fleet console or by contacting us. We may suspend or terminate your account for violation of these terms, non-payment, or fraudulent activity, with notice where reasonably practicable.

Upon termination, your right to access the service ceases. We will retain your scan records for a reasonable period as described in our Privacy Policy.

Governing Law

These Terms are governed by the laws of the State of Mississippi, without regard to conflict of law principles. Any disputes arising under these terms shall be resolved in the courts of Lafayette County, Mississippi.

Changes to These Terms

We may update these Terms of Use from time to time. Material changes will be communicated to fleet administrators via email with at least 14 days notice before taking effect. Continued use of the service after the effective date constitutes acceptance of the updated terms.
